Terms of Service

1. Acceptance of Terms

By accessing or using Ledger ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. Ledger is operated by Jumpstone Technology Inc. ("we", "us", "our"), a company incorporated in Ontario, Canada.

2. Description of Service

Ledger is a cloud-based bookkeeping application designed for micro and small businesses. The Service allows you to record income and expenses, track customer credit, generate financial reports, and manage your business records. Ledger is a software tool — it does not provide accounting, tax, legal, or financial advice.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorised use of your account

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Plans and Pricing

Ledger offers a free plan and paid subscription plans. Current pricing is available on our Pricing page. All prices are quoted in Sri Lankan Rupees (LKR) unless otherwise stated.

We reserve the right to change our pricing at any time. If we change the price of a paid plan, we will give you at least 30 days' notice before the new price takes effect. Your continued use of a paid plan after the price change constitutes acceptance of the new price.

5. Payment and Billing

Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis until you cancel.

  • Subscriptions renew automatically at the end of each billing period
  • If a payment fails, we will attempt to charge your payment method again. If payment remains unsuccessful after reasonable attempts, your account may be downgraded to the free plan
  • You may cancel your subscription at any time from your account settings

6. Free Trial

We may offer a free trial of paid features. No credit card is required to start a free trial. At the end of the trial period, your account will revert to the free plan unless you choose to subscribe to a paid plan.

7. Cancellation and Refunds

You may cancel your paid subscription at any time. Upon cancellation:

  • You will retain access to paid features until the end of your current billing period
  • Your account will revert to the free plan at the end of the billing period
  • Your data will remain accessible on the free plan, subject to free plan limitations

Refunds are generally not provided for partial billing periods. If you believe you are entitled to a refund due to a service issue, please contact us at [email protected].

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Share your account credentials with others or allow others to access your account
  • Attempt to gain unauthorised access to the Service or its related systems
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to store or transmit malicious code
  • Scrape, crawl, or use automated means to access the Service without our written consent
  • Circumvent any security features or access controls

9. Your Data

You retain full ownership of the data you enter into Ledger ("Your Data"). We do not claim any intellectual property rights over Your Data.

By using the Service, you grant us a limited licence to process, store, and display Your Data solely for the purpose of providing and improving the Service.

You may export or delete Your Data at any time. Upon account deletion, Your Data will be retained for 90 days (to allow recovery in case of accidental deletion) and then permanently deleted. For details on how we handle your information, see our Privacy Policy.

10. Intellectual Property

The Service, including its design, code, features, branding, and documentation, is the intellectual property of Jumpstone Technology Inc.. These Terms do not grant you any rights to use our trademarks, logos, or brand features without our prior written consent.

11. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim

13. Disclaimer

Ledger is a bookkeeping tool, not a substitute for professional accounting, tax, or financial advice.

We do not verify the accuracy of the data you enter. You are solely responsible for ensuring your financial records are correct and for complying with applicable tax and regulatory requirements. We recommend consulting a qualified accountant or tax professional for matters requiring professional judgement.

14. Indemnification

You agree to indemnify and hold harmless Jumpstone Technology Inc. and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

15. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

We may suspend or terminate your access to the Service if you violate these Terms, engage in conduct that we reasonably believe is harmful to other users or to us, or if required by law. Where possible, we will provide notice and an opportunity to remedy the violation before termination.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
